Terms of Service

“I”, “me” and “Matchless Web” mean Jon Phillips, trading as Matchless Web in Clinton, Mississippi. “You” means the business engaging me, or the person using this website. By hiring me or using this site you agree to these terms.

I design, build, host and maintain websites and the systems around them: Client Acquisition Systems, Sales Funnels, Business Automations, and the Website Care Plan. The exact scope of any project is set out in a written proposal that you approve before work begins. Anything not in the proposal is out of scope until it is added in writing.

Project work is fixed price, scoped on the discovery call, and typically runs between $15K and $60K depending on scope. I don't bill project work by the hour; you pay for the deployed system. Ongoing hosting and maintenance are covered by a monthly plan. Small changes outside a plan that take under 30 minutes bill at a discounted hourly rate stated in your proposal; larger changes are scoped and quoted first.

I offer two payment structures designed to eliminate administrative friction and keep project timelines tight.

Paid in Full: 100% upfront payment, which includes a discount on the total project value.

50/50 Split: A 50% deposit is required to commence work. The remaining 50% is automatically collected via a prior authorization agreement exactly 30 days after the project kickoff.

No work begins until the initial payment or authorization is established. Monthly plans are billed in advance on the same day each month.

Most systems ship in three to six weeks from kickoff, with a first milestone live inside 14 days. That schedule assumes you take part in the one-hour strategy session, review the staging links and walkthrough recordings when they are sent (live review calls are optional), and supply the content, credentials and approvals I ask for within a few business days. When those slip, the timeline moves with them.

You own 100% of the intellectual property, code repositories, design files and operational assets created for your project, effective when the final payment for that project clears. Until then I hold them. While I host and maintain the site under a plan, I manage the hosting accounts and the codebase on your behalf for security, performance and uptime, and you can ask for access at any time.

Anything I bring to a project that I already owned, such as internal tooling, templates and code libraries, stays mine, and you receive a permanent license to keep using it inside the work I delivered.

If you decide it's in your best interest to part ways, there are no hostage situations. I execute a seamless transfer of all assets and codebase control back to you, including hosting, domains, and every account created for the project, so you can manage things internally or with another vendor. This is written into every contract, and it applies whether the parting is your idea or mine.

Matchless Web is a one-person studio. When a project needs a specialist, I may engage a contractor for that piece of the work. Contractors work under my direction, are bound by the same confidentiality I hold myself to, and see only what their piece requires. You always work directly with me, and I remain responsible for the whole of the delivery.

You are responsible for the accuracy of the content you supply, for having the right to use any text, images, logos or data you give me, for keeping your own credentials safe, and for complying with the laws that apply to your business, including what your own website tells your customers about privacy. I will tell you when I think something you have asked for is a bad idea, but the decision, and its consequences, stay with you.

I promise to deliver the work in the proposal with professional care and skill, and to fix, at no charge, any defect in my own work that you report while I am maintaining the site. I don't promise a particular number of leads, a particular search ranking, or a particular revenue result: those depend on your market, your offer and your follow-through as much as on the system. Third-party services I connect you to, such as hosting, email, booking and payment platforms, are provided under their own terms, and I don't control their uptime or their pricing.

To the fullest extent the law allows, my total liability to you for anything arising out of a project or this website is capped at the fees you paid me in the twelve months before the claim. I am not liable for indirect or consequential losses, including lost profits, lost data or lost business, however they arise. Nothing in these terms limits liability that can't be limited by law.

Either you or I can end a project with written notice. You pay for the work completed up to that point, at the proportion of the fixed price it represents, and the break-up plan above applies to everything delivered. Monthly plans end at the close of the current billing month once notice is given, after any minimum term stated in your proposal has run.

These terms are governed by the laws of the State of Mississippi. Any dispute that can't be resolved by talking it through will be heard in the state or federal courts serving Hinds County, Mississippi.

When these terms change, the new version is published here and the date at the top moves. A project already under way stays on the terms in force when its proposal was approved.
